These Terms of Service (“Terms”) govern your access to and use of the BirdFly Media website located at https://BirdFlyMedia.com, including any online store, products, services, content, and related features made available through the website (collectively, the “Services”).

The Services are operated by BirdFly Media (“BirdFly Media,” “we,” “us,” or “our”), a business based in the United States.

By accessing or using the Services, placing an order, or purchasing a product, you agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Services.

Eligibility

You must be at least 18 years old, or the age of legal majority where you live, to place an order or enter into a binding agreement with BirdFly Media.

By using the Services, you represent that you meet this requirement and have the legal capacity to agree to these Terms.

Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on this page and update the “Last Updated” date.

Changes apply when posted unless a later effective date is stated. Your continued use of the Services after revised Terms are posted means that you accept the revised Terms.

Website Content

The text, images, graphics, logos, designs, photographs, videos, product descriptions, artwork, software, and other materials available through the Services are owned by BirdFly Media or are used with permission.

You may access and use the Services for personal, lawful, and noncommercial purposes. You may not copy, reproduce, modify, distribute, sell, publish, display, perform, license, create derivative works from, or exploit any content from the Services without our prior written permission.

Nothing in these Terms transfers ownership of BirdFly Media’s intellectual-property rights to you.

Trademarks

BirdFly Media’s name, logos, designs, slogans, and related branding may be trademarks or trade dress of BirdFly Media. You may not use them without our prior written permission.

Third-party names, logos, and trademarks belong to their respective owners.

Product Information and Availability

We attempt to describe and display products accurately. However, colors, images, sizing, materials, and appearance may vary depending on your device, screen, production process, and other factors.

We do not guarantee that product descriptions, images, prices, availability, or other content are complete, current, or error-free.

We may correct errors, update information, modify products, limit quantities, or cancel orders when necessary. We may also discontinue products or change product specifications at any time.

Orders and Acceptance

Placing an order is an offer to purchase the selected products. Your order is not accepted until we or our payment and storefront providers confirm the order.

We may decline, limit, or cancel an order for reasons including:

• Product unavailability

• Pricing or listing errors

• Suspected fraud or unauthorized activity

• Shipping restrictions

• Payment problems

• Violations of these Terms

• Errors in the order or customer information

• Circumstances outside our reasonable control

If we cancel an order after payment has been processed, we will issue a refund to the original payment method, subject to applicable law.

You are responsible for providing accurate billing, shipping, email, and contact information. We are not responsible for delays or delivery problems caused by incorrect or incomplete information supplied by you.

Prices, Payment, and Taxes

Prices are shown in U.S. dollars unless otherwise stated.

The price, shipping charges, taxes, and any other applicable fees shown at checkout are the amounts applicable to your order. Prices may change before an order is accepted.

Payments are processed through Stripe. We do not directly receive or store complete payment-card numbers. Stripe may process payment and transaction information under its own terms and privacy practices. You authorize BirdFly Media and our payment provider to charge the payment method submitted for the total amount shown at checkout.

Shipping and Delivery

Products are manufactured and fulfilled through Printful or other fulfillment providers identified at checkout.

Estimated processing and delivery times will be displayed at checkout or in the applicable product or shipping information. Unless a different period is stated, orders are generally processed within 1-2 business days and delivered within approximately 6-9 days after processing.

Delivery estimates are not guarantees. Delays may occur because of weather, carrier disruptions, customs, incorrect addresses, supply shortages, production issues, or other events outside our reasonable control.

If we cannot ship an order within the stated period, or within the period required by applicable law, we will provide an update and any cancellation or refund rights required by law.

You are responsible for inspecting the shipping address before completing your order. Contact us at THF@BirdFlyMedia.com as soon as possible if your order is delayed, damaged, defective, or appears to be missing.

Returns, Exchanges, and Refunds

Our return and refund terms are:

• Returns must be requested within 7 days after delivery.

• Contact us at THF@BirdFlyMedia.com before sending anything back.

• Items must be unused, unworn, unwashed, and in original condition.

• Personalized, custom-made, clearance, digital, or final-sale products are not eligible for return, except where required by law.

• Return shipping costs are paid by the customer , except for defective, damaged, or incorrect items.

• Approved refunds are issued to the original payment method within 14 business days after approval or receipt of the returned item.

• We do not provide duplicate refunds or refunds for packages delivered to an incorrect address supplied by the customer, except where required by law.

If an item arrives damaged, defective, or incorrect, email THF@BirdFlyMedia.com with your order number and photographs of the item and packaging. We may offer a replacement, refund, or other remedy as appropriate.

Nothing in this section limits rights that cannot lawfully be waived.

Print-on-Demand Products

Some products may be made to order through Printful. As a result, products may not be eligible for cancellation after production begins or for returns based solely on a change of mind, except where required by law or stated in our return policy.

This limitation does not apply to products that are defective, damaged, incorrectly printed, or incorrectly fulfilled.

Packaging Act Notice: Our fulfillment partner, Printful, is registered with the LUCID packaging Register of the Central Agency Packing Register (ZSVR). Tracking details are maintained via their primary packing participation obligations.

Prohibited Uses

You may not use the Services to:

• Violate any law or regulation

• Infringe intellectual-property, privacy, publicity, or other rights

• Interfere with the operation or security of the Services

• Attempt to access accounts, systems, or data without authorization

• Use automated tools to scrape, crawl, copy, or monitor the Services without written permission

• Upload malicious code or harmful material

• Submit false, misleading, or fraudulent information

• Impersonate another person or entity

• Abuse promotions, payment systems, returns, or refunds

• Use the Services for commercial resale without our permission

We may suspend or terminate access to the Services if we reasonably believe that you have violated these Terms or created risk for BirdFly Media, our users, or third parties.

User Communications and Submissions

If you send us reviews, comments, photographs, suggestions, ideas, testimonials, messages, or other material (“Submissions”), you represent that:

• You have the right to submit the material;

• The material is accurate to the best of your knowledge;

• The material does not violate another person’s rights; and

• The material does not contain unlawful, abusive, defamatory, threatening, or malicious content.

You retain ownership of your Submissions. However, by submitting material to us, you grant BirdFly Media a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, display, distribute, and otherwise use the material in connection with our business, marketing, and Services.

We may remove or decline to publish any Submission at our discretion.

Do not submit confidential information, payment-card information, passwords, or other sensitive information through a public review, comment, or social-media feature.

Third-Party Services and Links

The Services may use or link to third-party services, including Hostinger, Printful, Stripe, social-media platforms, shipping providers, analytics providers, and other services.

Hostinger provides website-hosting and infrastructure services. Printful may provide storefront, product-manufacturing, order-fulfillment, and shipping services. Stripe provides payment-processing services.

Your use of a third-party service may be governed by that provider’s separate terms and privacy policy. BirdFly Media is not responsible for third-party services, websites, content, policies, products, or actions.

Our collection and use of Personal Information are described in our Privacy Policy:

By using the Services, you acknowledge that you have had an opportunity to review the Privacy Policy. Where applicable law requires consent, we will request it separately.

Copyright Complaints

If you believe that material available through the Services infringes your copyright, contact us at THF@BirdFlyMedia.com with:

• Identification of the copyrighted work;

• Identification of the allegedly infringing material and its location;

• Your contact information;

• A statement that you have a good-faith belief that the use is unauthorized; and

• A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act for the copyright owner.

We may remove content or restrict access when appropriate.

Disclaimers

To the fullest extent permitted by law, the Services and their content are provided on an “as available” and “as is” basis.

BirdFly Media does not guarantee that:

• The Services will always be available or uninterrupted;

• The Services will be error-free or secure;

• Product information will always be complete or current;

• Products will meet your particular expectations; or

• Defects or harmful components will always be detected or corrected.

We disclaim warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

Nothing in these Terms excludes or limits a warranty, right, remedy, or liability that cannot legally be excluded or limited.

Limitation of Liability

To the fullest extent permitted by law, BirdFly Media and its owners, officers, employees, contractors, service providers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption arising from or related to the Services, products, or these Terms.

To the fullest extent permitted by law, BirdFly Media’s total liability for claims arising from or related to the Services, products, or these Terms will not exceed the greater of:

1. The amount you paid BirdFly Media for the product or service giving rise to the claim during the six months before the event giving rise to the claim; or

2. One hundred U.S. dollars ($100).

This limitation does not apply to liability that cannot lawfully be limited, including liability for fraud, willful misconduct, or other liability that applicable law prohibits us from excluding or limiting.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless BirdFly Media and its owners, officers, employees, contractors, agents, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

• Your breach of these Terms;

• Your misuse of the Services;

• Your violation of law or another person’s rights;

• Your Submissions; or

• Your fraud, negligence, or willful misconduct.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification. You agree to cooperate with that defense.

Dispute Resolution

Before filing a lawsuit or starting arbitration, you agree to contact us at THF@BirdFlyMedia.com and give us at least 30 days to attempt to resolve the dispute informally.

Court disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

Any lawsuit arising from or relating to these Terms or the Services must be filed exclusively in the state or federal courts located in Mecklenburg/NC, and you consent to those courts’ jurisdiction and venue.

Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent. BirdFly Media may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.

Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated into these Terms, constitute the entire agreement between you and BirdFly Media concerning the Services and supersede prior agreements concerning the same subject matter.
